MotherBoard CPU upgrade

Have Sony VAIO VGC-RB64G from 2006 with Intel 945P Express 800.0 MHz L2 cache 4.0 MB ,Pentium D 920 2.8 GHz

recently (last year) upgraded peripherals:
Hard Drive: WD6402AAEX
Video Card:Radeon HD 6790
Power Supply: Thermaltake TR2 430W
CPU cooler: ZALMAN CNPS9500
Case fan: Delta FFB0912SH
4G RAM
So now I am thinking of upgrading MB and processor and get Windows 7 Pro 64-bit.
What System Builders will advice me, built or not to built that is NOT a question, I want to built.
Was thinking of getting: GIGABYTE GA-Z68AP-D3 Intel Z68 Motherboard - ATX and Intel Core i5-3450
What do you people think about all that.
BTW, I run ProE, Solidworks and thermal CFD on it, do not play games, sorry, no time

Might as well step up to a Core i5-3470 for the $5.00 difference.
